Netflix Confirms Acquisition of Warner Bros. Discovery and HBO Max
A new global entertainment giant is born, raising concerns for the theatrical cinema and physical media industries
Netflix has officially announced the acquisition of Warner Bros. Discovery, including its entire studio division and the HBO Max platform, in a deal valued at a total of 82.7 billion dollars. Led by co-CEOs Ted Sarandos and Greg Peters and internally dubbed “Project Noble,” the operation was made possible by 59 billion in financing obtained from a banking consortium.
The streaming giant aims to significantly strengthen its catalog, stating that the integration will offer “more choice to users,” improve its production capacity, and generate between 2 and 3 billion dollars annually in operational savings. The agreement includes a hefty break-up fee of 5.8 billion, payable even if the transaction is not completed. WBD shareholders will receive 23.25 dollars in cash and 4.50 dollars in Netflix shares for each title owned, while the linear channels division – including CNN, TNT, and Discovery+ – will be spun off in 2026.
New Revolution for Global Entertainment
This move marks a turning point in the so-called “Streaming War”: Netflix secures some of the industry's most prestigious catalogs, from the DC, Harry Potter, and The Lord of the Rings sagas to the HBO brand, synonymous with high-quality series. Analysts like Morgan Stanley and Bank of America emphasize that the agreement represents both a strategic expansion and a direct blow to competitors Paramount, NBCUniversal, and Amazon/MGM.
However, concerns are not lacking. Exhibitor associations and the Directors Guild warn that the acquisition could threaten the cinematic ecosystem, especially regarding theatrical releases, despite Netflix stating its intention to maintain Warner's theatrical film distribution. This operation could also undermine future physical releases for Home Video.
The sector now awaits the judgment of regulators: a crucial step for an operation destined to reshape, perhaps definitively, the future of global entertainment.
